End-user license agreement

Draft — pending legal review (founder-gated). This is a plain-language draft written to match how Octadock actually works. It has not been reviewed by a lawyer and is not the final agreement. It will be replaced before the paid beta opens.

This agreement is between you and Surus Labs ("we", "us") for the Octadock desktop application. By installing or using Octadock, you agree to it. If you do not agree, do not use the software.

1. What your license lets you do

When you buy an Octadock Local license, we grant you a one-time, perpetual, non-exclusive license to install and use Octadock for your own purposes. It is a single payment, not a subscription. You may use it after the update window ends; see section 3.

You may not resell, sublicense, or redistribute the software or your license key, and you may not remove or circumvent the licensing and activation mechanisms.

2. Devices and activation

Your license may be active on up to 3 devices at a time. Activation associates a device with your license using a one-way device hash (described in the privacy policy). If you replace or reinstall a machine, its slot can be freed so you are not permanently locked out. Support can help you move a slot if you get stuck.

3. Updates

Your license includes 12 months of updates from your purchase date, and this window includes the 1.0 release. After the 12 months end, the version you have keeps working; your license does not stop. You simply stop receiving new updates unless you choose to renew.

Renewal is optional: for $19 per year you can extend your updates by another 12 months. You are never required to renew to keep using the software you already have.

4. Your own keys and providers

Some optional features connect to third-party services: confirmed AI Actions use the Codex or Claude CLI you select, cloud speech-to-text uses OpenAI, and cloud voices use ElevenLabs. These are off by default.

When you enable them, you use your own account and API keys with those providers, and they bill you directly for your usage under their own terms. We are not a party to your relationship with those providers, we do not set their prices, and we are not responsible for their charges, availability, or output. You are responsible for keeping your keys secure and for your usage of those services.

5. Your data

Octadock is local-first. Your captures, recordings, OCR text, clipboard history, and app history stay on your device; we do not receive them. The personal data we hold to run the license service is listed in the privacy policy, which forms part of this agreement.

6. Warranty and liability

Octadock is provided "as is". To the maximum extent permitted by law, we disclaim implied warranties such as merchantability and fitness for a particular purpose, and our liability for any claim arising from the software is limited to the amount you paid for your license. We are not liable for indirect or consequential loss, or for the acts, charges, or outages of the third-party providers described in section 4.

Nothing here excludes liability that cannot be excluded by law (for example, for death or personal injury caused by negligence, or for fraud).

7. Your statutory rights

This agreement does not take away the mandatory rights the law gives you as a consumer. Where any term here conflicts with a mandatory consumer-protection rule that applies to you, that rule prevails over this agreement. Refund terms are in the refund policy.

8. Term and termination

This license lasts until it is terminated. It ends automatically if you materially breach it (for example, by redistributing your key or circumventing activation). If your purchase is refunded, the associated license is deactivated. On termination you must stop using the software; sections 4, 6, and 7 survive termination.
